General Terms and Conditions of Sale and Personal Data Protection Policy

2. SCOPE OF APPLICATION

These General Terms and Conditions of Sale (hereinafter “GTC”) apply to all sales of Products carried out by the Seller and define the conditions under which the Seller agrees to supply the Products to the Buyer.

The Buyer’s general purchasing conditions are expressly excluded. No special condition issued by the Buyer, including those appearing on purchase orders or any other document, shall prevail over these GTC unless expressly accepted in writing by the Seller.

These GTC apply exclusively to all sales made by the Seller via the website accessible at www.codeoils.com (hereinafter the “Website”), dedicated to professionals, to any natural or legal person acting within the scope of their professional or commercial activity (hereinafter the “Client”).

The GTC, together with the order form, constitute the entire agreement between the Parties. Any other documents, including catalogs, advertisements, price lists, website content or notes, are for information purposes only and have no contractual value. They may be modified by the Seller without prior notice.

The Client acknowledges having the legal capacity to contract and to purchase the Products offered on the Website solely within the scope of their professional activity. When an order is placed on behalf of a company or legal entity, the individual placing the order declares that they are duly authorized to bind said entity.

Acceptance of the GTC is formalized by checking the box “I accept the GTC” at the time of placing an order.

The Client agrees that all information required for the conclusion or execution of the contract may be transmitted electronically.

The Seller reserves the right to modify the GTC at any time. The applicable GTC are those in force on the date the order is placed.


3. ORDERS

Essential characteristics

The essential characteristics of the Products are presented on the Website. All regulatory documents are available upon written request at: sales.codeoils@gmail.com.

The Seller reserves the right to update, improve or withdraw Products from sale.

Product offers are valid while visible on the Website, subject to available stock.

Once the Client validates the order and selects a payment method, the sale is deemed concluded (agreement on Products and price). Orders are canceled if payment details are not entered or if payment authorization is refused. Orders are processed only after payment validation.

Orders are irrevocable once payment is validated. Any request for modification will only be considered if the order has not yet been processed and if the request is made in writing and confirmed in writing by the Seller.

Order refusal

Any abnormal order, fraudulent behavior, attempted fraud, or payment incident may result in refusal of the order and/or suspension or deletion of the Client account.

Payment

The Client may review their cart before final confirmation.

The Seller acknowledges receipt of the order by email. The Client undertakes to provide a valid and accessible email address. Any email sent to this address shall be deemed received.

Only French and English versions are available. In case of discrepancy, the French version shall prevail.


4. PRICES

Prices are those in effect on the Website at the time of order registration.

Prices are stated in euros, excluding VAT and other taxes. All taxes, duties, or customs charges applicable in the destination country are borne by the Client.

Prices may be adjusted due to changes in tax legislation. No discount is granted for early payment. No credit balance is managed unless expressly agreed in writing.

Sales outside mainland France

Any sale outside mainland France places the Client in the position of importer, responsible for customs formalities, duties, taxes, and compliance with local regulations.


5. PAYMENT

Payment is due in full at the time of order placement. Accepted payment methods: credit card (CB, Visa, Mastercard), bank transfer, and checks.

Payments do not constitute deposits.

In the event of non-payment or payment incident, the Seller reserves the right to suspend or cancel deliveries. The Client may not withhold or offset payments except in cases defined by Article 1219 of the French Civil Code.


6. DELIVERY AND TRANSPORT

The Seller selects the carrier. Delivery restrictions are indicated during the ordering process.

Due to made-to-order manufacturing, delivery times range from 2 to 60 days. Delivery shall occur without undue delay and no later than 60 days after contract conclusion. Delays do not justify order cancellation.

Delivery is made to the address provided by the Client.

In case of non-delivery or unavailability, the Client may obtain a refund without entitlement to damages.

Risk transfers to the Client upon physical receipt of the goods.

The Client must check goods upon delivery. Any apparent defect or shortage must be reported in writing within 3 days. Failure to do so constitutes acceptance.

Delivery times are indicative and may be affected by force majeure, supplier failure, customs delays, incomplete payment, or incorrect Client information.


7. INVOICES AND DOCUMENTS

Invoices accompany orders.
Regulatory documents are available upon written request at sales.codeoils@gmail.com.


8. CLAIMS AND RETURNS

Claims must be made by registered letter within 3 days of delivery. Products are deemed accepted thereafter.

No return is accepted without prior written authorization. Products must not have been resold, processed, or transformed.

The Seller may replace or refund defective Products at its discretion.

Returns require a return authorization number and must be sent within 3 days. Return shipping costs are borne by the Client; return shipping after service is borne by the Seller.


9. PRODUCT USE AND STORAGE

Products are strictly reserved for professionals registered with the Trade Register and competent in their use.

The Client is solely responsible for compliance of finished products with applicable regulations.

The Seller is not responsible for misuse, improper storage, or final product marketing.


10. LIABILITY

The Seller’s liability is limited to direct damages and capped at the amount paid for the order concerned. Indirect, immaterial, or commercial damages are excluded.

No liability applies in cases of force majeure.

Any legal action must be brought within 12 months of the damaging event.


11. FORCE MAJEURE

The Seller is not liable for failure to perform due to force majeure. If force majeure lasts more than one month, either Party may terminate the unperformed portion of the contract.


12. JURISDICTION AND APPLICABLE LAW

These GTC are governed by French law.
Exclusive jurisdiction is granted to the courts of Paris, France.
